Institutional clients can distribute NexBridge issuances through several engagement models, depending on their infrastructure, business model, and regulatory profile.

Institutional Distribution Paths

There are two primary ways to distribute NexBridge instruments to clients:

Authorized Distributor (Primary Market)

Institutions acting as Authorized Distributors support primary-market distribution, including:

  • Client subscriptions to new issuances
  • Redemptions (where applicable)
  • Distribution on behalf of the issuer

This model is suitable for firms that want to place newly issued instruments directly with their clients.

Authorized Market Participant (Secondary Market)

Institutions may also operate as Authorized Market Participants (AMPs), supporting:

  • Secondary-market trading
  • Venue-based distribution
  • Investor-to-investor transactions

This model is typical for exchanges, broker platforms, or trading venues.

Direct Institutional Access via OTC Desk

Eligible institutions can also engage directly through the NexBridge OTC Desk for structured primary-market flows, subject to onboarding and compliance requirements.

This pathway is commonly used for:

  • Large allocations
  • Structured placements
  • Direct issuer interaction

Becoming an Authorized Partner

Authorization requires a commercial and compliance onboarding process that typically includes:

  • KYB (Know Your Business) verification
  • Legal agreements (distribution or venue terms)
  • Regulatory and jurisdictional review
  • Technical integration readiness
  • Settlement capability checks

Authorization scope may vary by

  • Specific issuance
  • Jurisdiction
  • Business model
  • Venue structure
  • Supported network rails (if applicable)

Choosing the Right Engagement Model

The appropriate channel depends on your institution’s capabilities and objectives.

Engage the OTC Desk if you:

  • Already operate distribution infrastructure
  • Need direct primary-market access
  • Require subscriptions or redemptions with the issuer
  • Seek structured allocations

Engage as an Authorized Partner if you:

  • Want to distribute to a broader client base
  • Operate a trading venue or brokerage platform
  • Need ongoing market access for clients

End-to-End Distribution Support

If an institution requires a full distribution setup — including technical integration or liquidity support on partner venues — NexBridge may coordinate introductions to affiliated group entities under separate commercial agreements.
